1)                   NAME

The Club will be called “The Melton & Rutland Business Club”.

2)                   OBJECTIVES

The objectives of the Club will be: -

a)                 To promote business among members by direct contact in a social atmosphere.

b)       To discuss problems and ideas with others directly or indirectly involved in local business.

c)                 To continuously improve the methods of communication to and from the membership, on matters of immediate concern and of longer term consequence, by use of active working parties, publications, questionnaires, discussions etc.

d)                 To hold regular meetings which provide members with the opportunity to meet each other to promote their business, and to receive information useful to their business from carefully selected speakers.

e)                   To organise and take part in social activities.

3)                   MEMBERSHIP

a)                   Full membership will be open to owners and directors of local businesses in the Melton and Rutland area on the basis of a maximum of two persons per business.  A local business will be defined as one which is substantially independent, managed primarily at local level and employing not more than sixty people.  The Club committee will use its discretion in interpreting and applying membership qualifications and its decision will be final.

b)                   Associate membership may be given to larger companies or other organisations who can assist or otherwise further the interests of local businesses e.g. Banks, Insurance Companies, Building Societies, Charitable Organisations.

c)                   Voting:  Full membership status entitles a business one vote at a club meeting.  This vote will be cast by the usual club member or their representative.  Non-payment of the current annual subscription will invalidate voting rights.

d)                   Full membership of the Club entitles a member to participate in all Club activities, promotions and publicity.

4)                   SUBSCRIPTIONS

a)                   Membership subscriptions shall be £25.00 for both Full Members and Associate members.  Subscriptions will be payable immediately on acceptance into the Club and thereafter on the annual renewal date.

b)                   The level of subscription shall be reviewed each year at the Annual General Meeting when the rate for the ensuing year will be agreed.

5)                   COMMITTEE

a)                  The club shall be managed by a committee consisting of Chairman, Secretary, Treasurer and additional members who shall number no more than 25% of the paid up membership of the Club.  The committee will be elected at the Annual General Meeting and will serve for one year.  Retiring committee members will be eligible for re-election.

b)                  Additional committee members may be co-opted from the club membership from time to time to serve on sub-committees for specialist activities.

c)                   A quorum for committee meetings shall be 50% plus one of the total committee membership, excluding co-opted members who shall not have the power to vote.

6)                   ACCOUNTS

Accounts of the club shall be drawn up to the 31st May each year and will be presented for acceptance at the Annual General Meeting.

7)                   GENERAL MEETINGS

a)                   The Annual General Meeting shall be held within three months following the 31st May each year.

b)                   An Extraordinary General Meeting shall be held at the request of at least ten members of the Club holding Full membership.  If a quorum of a least half the paid up membership of the Full members is not present then such meeting will be cancelled.

c)                   Twenty one days notice shall be given for all general meetings.

d)                   A quorum for an Annual General Meeting shall be at least half the paid up membership of Full members.  If a quorum is not present at an Annual General Meeting such meeting shall be postponed and reconvened within one month with the Full Members being present, regardless of their number, forming the quorum.

e)                   Constitutional changes shall only be made at an Annual or Extraordinary General Meeting.

8)                   EXPLUSION

The committee will have the power to expel any company or member from the Club for behaviour which is detrimental to the interests of the Club, or for persistent failure to pay subscriptions or other monies due.  Such expulsion is to be ratified by the majority of the total Club committee.  The company or member concerned will have the right to appear and speak in their defence at the committee meeting.  The decision of the committee will be final.
